This Risk Disclosure outlines important information regarding the use of the Shop N Reap platform. By accessing or using the platform, users (vendors and customers) acknowledge and accept the risks described below.

This Risk Disclosure applies to the Shop N Reap website, mobile applications, and all associated digital services.

1. Platform Role Limitation

Shop N Reap LLP operates as a digital marketplace facilitation platform

We :
  • Do not manufacture, sell, or deliver goods or services
  • Do not control product quality, pricing, warranties, or vendor representations.
  • Do not act as buyer or seller in transactions between customers and vendors.

All product and service obligations remain solely with the respective vendor.

2. Payment Processing Risk

All payments are processed through bank-issued QR codes under the merchant acquiring system

Shop N Reap:
  • Does not store customer card or UPI credentials.
  • Does not directly process payment transactions.
  • Is not responsible for banking network failures, transaction delays, or third-party payment disruptions.

Any payment disputes must be raised with the respective bank or vendor.

3. Loyalty Credit Risk

Loyalty credits:
  • Are promotional in nature.
  • Are non-transferable and non-withdrawable.
  • Have no cash value outside the platform.
  • May be subject to expiry or modification as per platform policy.

Shop N Reap reserves the right to modify loyalty structures to maintain operational sustainability.

4. Vendor Responsibility

Vendors are solely responsible for:
  • Product authenticity
  • Service quality
  • Tax compliance
  • Issuance of valid invoices
  • After-sales support

Shop N Reap is not liable for disputes arising from vendor-customer transactions.

5. Technical Risks

While reasonable security measures are implemented, users acknowledge that:
  • Internet-based services may face temporary interruptions.
  • System maintenance or technical issues may affect access.
  • No system is completely immune to cyber threats.

Shop N Reap shall not be liable for temporary service disruptions beyond reasonable control.

6. Regulatory & Compliance Risk

Shop N Reap operates in compliance with applicable Indian laws as a digital marketplace facilitation platform.

Changes in regulatory frameworks may require modification of platform operations, policies, or reward structures.

7. Limitation of Liability

To the maximum extent permitted by law, Shop N Reap LLP shall not be liable for:
  • Indirect or consequential losses
  • Loss of profits
  • Loss of business opportunities
  • Disputes between vendors and customers

Use of the platform is at the user’s own discretion and risk.

Shop N Reap reserves the right to update this Risk Disclosure at any time without prior notice. Continued use of the platform constitutes acceptance of revised terms
